Check on justice.cz whether a company with the same name is already registered. If you plan to build a brand in the Czech Republic or in Europe, you also need to check whether a trademark with the same name as your company is registered. You can check this here. A company in the Czech Republic may not exist under the same name, but a trademark with that name could be registered across all of Europe.
Decide who will be the director (jednatel) and who will be a co-founder (společník) or sole owner (jediný společník). For a director who does not have permanent residence or citizenship in the Czech Republic, you must provide a criminal-record certificate from their country of citizenship.
In the Czech Republic the minimum share capital for an s.r.o. is 1 CZK. However, it is better to set it at a minimum of 10,000 CZK. For companies that plan to work with investors in the future, it is recommended to increase the share capital to a reasonable amount, since investors are reluctant to invest in a company with share capital of 10,000 CZK.
Obtain confirmation from the property owner (you'll find the form via the link). This confirms that the property owner agrees to the company being registered at that address. It can be your own apartment or house, in which case you sign the permission yourself. The signature must be notarised.
The notary will ask whether they should submit the company information automatically, or whether you will do it yourself. We recommend entrusting this to the notary. It costs a little more, but the expense is justified, as it helps avoid difficulties with the further processing of the founding documents.
Go to the živnostenský úřad to register the company's activity. Find your activity in the list of activities. At any živnostenský rejstřík at the city office, say that you are registering an s.r.o. and registering a živnost (trade licence) for this company. The documents provided by the notary are the founding deed. Registering the živnost takes about 3-7 working days. After that, collect the confirmation from the živnostenský úřad and take it to the notary.
After some time you will receive confirmation that the company has its own datová schránka (the company's official mailbox, through which you can communicate with government authorities or they can send messages to your company). Note that the access details are sent to your registered address, even if it is in another country. You can also gain access to the datová schránka by visiting any Czech post office and asking them to issue new access credentials. Only the company director has the right to access the datová schránka.
